Duties of the Executive Officers

Duties of the President: The President shall be the chief administrative officer of the Corporation and shall act as Chairman of the Board and the Executive Board and preside at all meetings. The President shall call such meetings as deemed necessary, in addition to the regularly scheduled meetings of the Boards and shall appoint committees, their members and designate their chairman by and with the approval of the Board, with the exception of those otherwise covered by these By-Laws. The President shall sign Corporation checks if the Treasurer is unable to act. The President may conduct such correspondence as considered necessary for the best interest of the Corporation, and perform all executive and other duties ordinarily appertaining to the office of the President. The President shall submit a semi-annual report to the Corporation at each Conference. The President shall preside at the Semi-Annual Business Meetings of the Corporation, and is empowered to vote with the Governing Board.

 Duties of the First Vice-President: The First Vice-President serves as Chairman of the Board when the President is unable to preside and is to succeed the President in case of incapacity or inability of the President to act. The First Vice-President shall perform such duties as are assigned by the President The First Vice-President shall be a member of the Board. The First Vice-President shall chair the By-Laws committee.

 Duties of the Second Vice-President: The Second Vice-President serves as Chairman of the Board when the President and First Vice-President are unable to preside. The Second Vice-President is to succeed the First Vice-President is case of incapacity of the First Vice-President to act. The Second Vice-President shall perform such duties as are assigned by the President. The Second Vice-President shall be a member of the Board. The Second Vice-President shall be responsible for the Conference Site Committee. 

Duties of the Secretary: The Secretary shall be responsible for maintaining all organization of records. The Secretary shall maintain minutes of all meetings of the Executive Board and Board of Directors and Semi-Annual Corporation Business meetings. The Secretary shall properly notify all members of meetings dates and other official information that that should be brought to their attention. The Secretary shall perform other duties as specified in the By-Laws. The Secretary shall be a member of the Board.

Duties of the Treasurer: The Treasurer shall collect all moneys due the Corporation and shall be responsible therefore. The Treasurer shall maintain a complete and accurate list of memberships. Upon presentation of appropriate documentation, the Treasurer may disburse any amount in the name of the Corporation and be authorized to sign all checks for disbursements. The two signatures shall be registered for the bank account, namely the “President” and the “Treasurer” although only one signature shall be required for the withdrawal of funds. The Treasurer shall keep regular accounts of the fiscal affairs of the Corporation, which accounts shall be subject to inspection by the President, and by any member of the Board. The Treasurer shall submit for audit, an annual report, and the Corporation books for the outgoing Treasurer’s term in office will be done at the expiration of that term, and the outgoing Treasurer shall turn over all records to the new Treasurer. The Treasurer shall perform other duties as specified elsewhere in these By-Laws and shall be a member of the Board.

 Duties of the Historian: The Historian shall be responsible for keeping historical documentation of the organizations activities. Including but not limited to the annual conferences, board meetings, and any other event of importance. The Historian will be responsible to take photographs, collect memorabilia, retain copies of conference logos, document these items and maintain them in a scrapbook for the organization. The Historian shall be responsible to present a reasonable budget at the first board meeting of each year for approval by the Board for historian supplies for the upcoming year. The Historian shall be responsible to transfer all kept documents to the succeeding Historian at the end of the term or to the President should the Historian have to leave the term early for any reason. The Historian shall be responsible to track Lifetime Membership by keeping all names and addresses of Lifetime Members as up to date as possible and notify all Lifetime Members of any upcoming SSTABS events. The Historian shall perform other duties as assigned by the President. The Historian shall be a member of the Board.
